Please read carefully. By purchasing or using any service offered by CloudGud
(operated by GudCloudTech LLP), you agree to these Terms and Conditions in full. If you do not
agree, you must not use our services.
1. Definitions
Throughout these Terms, "CloudGud", "we", "us",
and "our" refer to GudCloudTech LLP. "You" and
"Client" refer to the individual or entity purchasing or using our services.
"Services" refers collectively to Managed Web Hosting, Dedicated Private Cloud,
and any related managed infrastructure or support services provided by CloudGud.
2. Acceptance of Terms
By registering an account, placing an order, or accessing any part of our platform, you confirm
that you are at least 18 years of age, have the legal capacity to enter into a binding agreement,
and accept these Terms and Conditions without modification.
If you are registering on behalf of a company or organisation, you represent that you have
the authority to bind that entity to these Terms.
3. Services
3.1 Managed Web Hosting
Our Managed Web Hosting runs on high-performance clustered infrastructure with self-healing
capabilities, dynamic edge routing, and Anycast IPs. We handle server provisioning, software
deployment, security patching, and day-to-day infrastructure management so you can focus on
growing your business.
3.2 Dedicated Private Cloud
Dedicated Private Cloud plans provide isolated kernel, OS, and hardware resources. Your
environment is not shared with other clients, ensuring consistent performance, enhanced
security posture, and full resource ownership.
3.3 Managed DevOps & Support
All plans include concierge-level support. Our team handles deployments, migrations, performance
tuning, and escalation management. Support is available 24/7 via live chat, email, and the
support ticket portal.
3.4 Service Modifications
We reserve the right to modify, upgrade, or discontinue any feature or component of our Services
at any time. Where changes are material, we will provide at least 14 days' advance notice via
email or a notice on your client dashboard.
4. Account Registration & Security
You agree to:
- Provide accurate, complete, and current information when creating your account.
- Keep your login credentials secure and not share them with any third party.
- Notify us immediately at [email protected] if you suspect any unauthorised access to your account.
- Accept full responsibility for all activity that occurs under your account credentials.
CloudGud reserves the right to suspend or terminate accounts where we have reason to believe
credentials have been compromised or where account activity violates these Terms.
5. Billing & Payment
5.1 Fees & Invoicing
All service fees are as published on our pricing page at the time of order. Invoices are
generated automatically and are due upon issuance. Prices are in the currency stated on your
invoice and are exclusive of applicable taxes (including GST where applicable under Indian law).
5.2 Billing Cycle
Services are billed in advance on the cycle selected at checkout (monthly or annually). Annual
plans are discounted and billed as a single upfront payment.
5.3 Late & Failed Payments
If payment is not received within 7 days of the invoice due date, your services may be
suspended. Services that remain unpaid for more than 14 days may be terminated and associated
data permanently deleted. Reactivation after suspension may attract an administrative fee.
5.4 30-Day Money-Back Guarantee
New hosting accounts are eligible for a full refund within 30 days of the initial purchase date,
provided the request is submitted through our support portal. The following are excluded from
this guarantee:
- Domain registrations and transfers.
- SSL certificates.
- Renewal invoices on existing accounts.
- Accounts suspended or terminated for policy violations.
- Services purchased during promotional or discounted campaigns.
5.5 Upgrades & Downgrades
Plan upgrades take effect immediately and are charged on a pro-rated basis. Downgrades take
effect at the start of the next billing cycle. No credit is issued for unused time on a
downgraded plan.
6. Acceptable Use Policy
You must not use our Services to host, transmit, or facilitate:
- Any content that is illegal under applicable Indian law or international law.
- Spam, phishing, or unsolicited bulk email campaigns.
- Malware, ransomware, viruses, or any malicious code.
- Denial-of-service (DoS/DDoS) attacks against any target, including third parties.
- Cryptocurrency mining without our prior written approval.
- Content that infringes on intellectual property rights of any person or entity.
- Adult content, gambling, or weapons-related content without appropriate licensing.
- Resale of our Services without a signed reseller agreement.
Violation of this policy may result in immediate suspension or termination without notice
or refund. We reserve the right to report illegal activity to the appropriate authorities.
7. Uptime & Service Levels
CloudGud targets 99.5% monthly network uptime for all managed hosting
infrastructure. Uptime is calculated per calendar month, excluding:
- Scheduled maintenance windows (announced at least 48 hours in advance).
- Events beyond our reasonable control (see Force Majeure, clause 12).
- Downtime caused by your own applications, configurations, or misuse.
Service credits for verified downtime below the target threshold may be requested via our
support portal within 7 days of the incident and are subject to our SLA review process.
Credits are applied to your account balance and are not redeemable for cash.
8. Data, Backups & Security
While we operate enterprise-grade infrastructure with multiple redundancy layers, you remain
solely responsible for maintaining your own independent backups of all data stored on our
platform. We strongly recommend maintaining off-site copies of critical data at all times.
CloudGud implements industry-standard security measures including firewalls, intrusion
detection, and regular security audits. However, no system is completely immune to breaches.
We are not liable for data loss arising from security incidents beyond our reasonable control.
9. Intellectual Property
All platform software, trademarks, logos, documentation, and marketing materials are the
exclusive property of GudCloudTech LLP or its licensors. Nothing in these Terms grants you
any right to use our intellectual property beyond what is strictly necessary to use the Services.
You retain full ownership of all content, data, and applications you host on our infrastructure.
By using our Services, you grant us a limited licence to process, store, and transmit your
content solely to provide the Services to you.
10. Privacy
Your use of our Services is governed by our
Privacy Policy, which is incorporated into these Terms
by reference. By using our Services you consent to the collection and processing of your
data as described therein, including processing within India and other jurisdictions where
our infrastructure providers operate.
11. Limitation of Liability
To the fullest extent permitted by applicable law, GudCloudTech LLP shall not be liable for
any indirect, incidental, special, consequential, or punitive damages, including but not
limited to loss of revenue, loss of data, loss of business opportunity, or service
interruption, even if we have been advised of the possibility of such damages.
Our total aggregate liability to you for any claim arising out of or related to these Terms
or the Services shall not exceed the total fees paid by you to us in the three
calendar months immediately preceding the event giving rise to the claim.
12. Force Majeure
CloudGud shall not be liable for any failure or delay in performing its obligations where
such failure or delay results from circumstances beyond our reasonable control, including
but not limited to natural disasters, acts of government, war, civil unrest, power failures,
upstream network provider outages, or cyber-attacks on third-party infrastructure.
13. Termination
By you: You may cancel your services at any time through the client portal.
Cancellation takes effect at the end of the current billing period. No refund is issued for
unused time on monthly plans unless within the 30-day money-back window.
By us: We may suspend or terminate your account immediately, without notice
or refund, in cases of: material breach of these Terms, non-payment, illegal activity, or
any action that threatens the integrity of our infrastructure or other clients.
Upon termination, your data will be retained for 14 days during which you
may request a final backup. After 14 days, all data is permanently and irreversibly deleted.
14. Governing Law & Disputes
These Terms and Conditions are governed by and construed in accordance with the laws of
India. Any disputes arising from or relating to these Terms shall be subject
to the exclusive jurisdiction of the competent courts in India.
Before initiating formal proceedings, both parties agree to attempt resolution in good faith
through our support channels for a period of at least 30 days.
15. Changes to These Terms
We reserve the right to update these Terms at any time. Material changes will be communicated
via email to your registered address and via a notice on the client dashboard, with at least
14 days' notice before the updated Terms take effect. Continued use of our
Services after that date constitutes your acceptance of the revised Terms.
